Professional Experience

Ed is a well-rounded attorney with more than 41 years’ experience in business, real estate and lending transactions and litigation in Arizona law firms and as in-house counsel to a real estate development firm. He understands that excellent representation transcends documentation and pleadings and requires understanding of business fundamentals and individual client expertise, vision and objectives.

For most of the last 41 years, Ed has represented financial institutions and their subsidiaries in all aspects of the industry, from compliance to documentation and enforcement. A major portion of his work in assisting lenders in documenting and originating loans is focused on due diligence, including corporate partnership and limited liability company governance and authority, title to real and personal property, priority of encumbrances, secured transactions, as well as avoidance or resolution of broken priorities, zoning, building and safety compliance, review of surveys, permitting, inspection and certificates of occupancy for buildings and residences in real estate transactions.

As in-house counsel for a real estate developer, Ed was responsible for all aspects of subdivision applications and reports, title issues, environmental quality compliance, assured water supplies, preparation of CC&Rs, association documentation, rules and regulations for the association and all other aspects of the developments.

Ed’s business practice has included formation, operation and governance of corporations, partnerships, limited partnerships, limited liability companies and joint ventures.

Ed’s practice also includes preparation of wills and trusts for estate planning and asset preservation.

Personal
Fluent in Spanish, Ed served as an Official Court Interpreter in Maricopa County Superior Courts from 1968-1972. He enjoys family, family history and genealogy, sports, furniture making, and antiquarian books
